Flyerworks - Terms & Conditions

1. Acceptance of Terms

By accessing, registering for, or using Flyerworks (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, along with any policies referenced herein, including but not limited to the Refund Policy and Privacy Policy.

If you do not agree, you must not use the Platform.

2. Eligibility & Authority

• You must be at least 18 years of age and legally capable of entering into a binding agreement.
• You confirm that you are authorized to act on behalf of the business, brand, or store you register on the Platform.
• Flyerworks is intended strictly for lawful business promotion and commercial communication.

3. Account Registration & Free Usage Limits

This section outlines account responsibilities and fair-use limits for free accounts.

3.1 Account Responsibility

• Each user is responsible for maintaining the confidentiality of their account credentials.
• You are responsible for all activity occurring under your account.

3.2 Free Account Fair-Use Policy

• A maximum of three (3) free accounts are permitted per brand, store, business entity, phone number, email domain, device, or any identifiable linkage.
• Creation or operation of additional free accounts beyond this limit is considered misuse and abuse of the Platform.

3.3 Enforcement

Flyerworks reserves the right to detect, investigate, restrict, suspend, or permanently ban accounts involved in:

• Circumventing free usage limits
• Creating multiple accounts to exploit free or watermarked downloads
• Using alternate identities, phone numbers, or devices to bypass restrictions
• Enforcement may be applied without prior notice and at Flyerworks’ sole discretion.

4. Permitted & Prohibited Use

This section describes acceptable and unacceptable uses of the Platform.

4.1 Permitted Use

You may use Flyerworks solely to:

• Create marketing creatives for your own business or store
• Promote lawful products, offers, and services

4.2 Prohibited Activities

You must not:

• Share, resell, sublicense, or commercially exploit the Platform or outputs
• Scrape, reverse engineer, decompile, or attempt to extract source code
• Bulk-scrape or systematically extract our template catalog, product catalog, or any other Platform content for use outside the Platform
• Use the Platform, or any data or output obtained from it, to build, train, or improve a competing product or service
• Use the Platform to generate content for third parties without authorization
• Use Flyerworks for illegal, misleading, deceptive, or harmful promotions
• Remove watermarks or bypass usage limitations, including AI generation rate limits (Section 7.5)
• Automate access or usage without explicit written consent

5. Subscription, Payments & Access

• All paid plans are prepaid unless explicitly stated otherwise.
• Access to paid features is granted only after successful payment confirmation.
• Flyerworks may modify pricing, plans, or features at any time, with changes applying prospectively.
• Failure of payment may result in immediate downgrade, restriction, or suspension.

6. Refund Policy

Flyerworks provides a 7-day refund window applicable only to first-time subscriptions, subject to fair usage. A subscription is considered consumed, and therefore non-refundable, once ANY of the following occurs within that window:

• 10 or more downloads, counting flyers and shelf tags together
• 10 or more AI generations (header images or captions)
• Any à la carte purchase has been used (template unlock, pay-per-use flyer, shelf-tag overflow credit, or AI credit pack): these are delivered instantly and are separately non-refundable regardless of the 7-day window
• Request must be raised within 7 calendar days from purchase in any case
• Abuse of refund policies may result in account restriction or termination.
• Refund processing timelines and methods are governed by the official Refund Policy.

7. AI Features

This section governs your use of AI header generation, AI caption generation, and automatic background removal.

7.1 No Warranty on AI Output

• AI-generated headers and captions, and images processed by background removal, are produced by third-party machine learning models (Section 3 of our Privacy Policy) and are provided "as-is", with no warranty as to their quality, accuracy, or fitness for any particular purpose.
• You must review AI-generated and AI-processed content before using it commercially. We do not guarantee that AI output will be free of visual artifacts, factual inaccuracies, or unintended alterations to your original content, or that background removal will correctly identify the subject of a photo.
• We do not guarantee uniqueness of AI-generated output: another customer using a similar input or prompt may receive a similar generation.
• Depending on your jurisdiction, AI-generated content may not be eligible for copyright protection. You are responsible for determining whether this affects your intended use.

7.2 Your Responsibility for AI Input & Output

• You warrant that you hold the necessary rights to any image, logo, font, or content you upload for AI processing or for use on the Platform, and that it does not infringe any third party’s intellectual property or other rights.
• You are responsible for ensuring that any brand names, product images, or trademarks that appear in your flyer (whether uploaded by you or already present in our template/product catalog) are used lawfully in your specific promotion.
• You are solely responsible for the accuracy of any pricing, discount, or offer terms depicted in a flyer or shelf tag, whether the underlying artwork was AI-generated or not.

7.3 AI Credits

• AI features are metered by a monthly credit allowance tied to your subscription plan.
• Credits do not roll over: unused credits expire at the end of each monthly cycle.
• Credits are non-transferable between accounts and non-refundable once consumed, including credits used on a generation you are not satisfied with (see also Refund Policy Section 4).
• Additional AI credit packs, where purchased, are delivered instantly and are non-refundable once any credit from the pack has been used.

7.4 Right to Change AI Providers

• We may change which underlying AI model or provider powers a given feature at any time, without prior notice, to improve quality, cost, reliability, or availability. This section, not any specific model name mentioned elsewhere, governs our rights in this respect.

7.5 Fair Use & Rate Limits

• To protect the Platform and other users, AI generation requests are subject to a burst rate limit in addition to your monthly credit allowance. If you believe a rate limit is affecting your legitimate use, contact support (Section 18) and we will review it.

7.6 Template & Catalog Imagery

• Our templates, stock imagery and product catalog are provided as a convenience, on an "as-is" basis, to help you assemble a promotion quickly.
• We make no representation or warranty that any particular template, catalog image, product photograph, brand name or logo available on the Platform is cleared, licensed or otherwise lawful for YOUR specific promotion, in your territory, for your goods, or at the prices or claims you attach to it. Rights in brand and product imagery depend entirely on the context of the promotion, which only you control.
• You are responsible for confirming that you are entitled to advertise the products shown, that you are an authorised seller where required, and that your use of any third-party brand element is permitted (for example, as fair or nominative use in advertising goods you genuinely offer for sale).
• If a rights holder objects to material we supply, we will act under Section 10. That does not transfer to us responsibility for a promotion you chose to publish.

7.7 Uploaded Fonts

• Business-plan accounts may upload custom font files. Fonts are separately licensed software, and most commercial font licenses restrict or prohibit uploading, hosting, embedding or redistributing the font file.
• By uploading a font you warrant that you hold a licence permitting its upload to and use on a hosted web platform, and you accept that we store the file and serve it from a public URL in order to render your flyer (Privacy Policy Section 6A).
• We do not verify font licences and accept no responsibility for a font you upload. You indemnify us against any claim by a font foundry or licensor arising from a file you upload, under Section 15.
• We will remove an uploaded font on request, or on receipt of a valid notice under Section 10.

7.8 Share Links & Public Content

• The "Get shareable link" feature publishes the flyer, as it stood at that moment, to a public web page reachable by anyone holding the link. There is no password and no sign-in. Uploaded files are likewise served from public URLs.
• You are solely responsible for deciding what to place on a flyer before sharing it, and for who you send a link to. Anything visible on the flyer — including your store name, address, phone number, prices and offers — becomes visible to every recipient and to anyone they forward it to.
• You must not use share links to publish content you do not have the right to publish, or content prohibited under Section 4.2.
• We may remove any shared page, at any time, under Section 10 or on request. We are not liable for onward disclosure of a link by you or by a recipient.

8. Intellectual Property Rights

The following are the exclusive property of Salescore Technologies Pvt Ltd:

• All Platform software, infrastructure, templates, designs, layouts, and system-generated assets.
• Our AI prompt engineering, preset definitions, and generation configurations.
• Our product and template catalog and any enrichment data associated with it.
• Aggregated or anonymized insights we derive from usage of the Platform (see Privacy Policy Section 2).
• The Flyerworks name, logo, badge, and trade dress.
• You are granted a limited, non-transferable, non-exclusive license to use generated flyers and shelf tags solely for your own business promotion.
• You may not claim ownership, resell, or redistribute Flyerworks templates, catalog data, or platform assets.
• If you submit feedback, suggestions, or feature requests, you grant us an unrestricted, royalty-free license to use them for any purpose, without any obligation of attribution or compensation to you.

9. User Content & License

• You retain ownership of content you upload (logos, text, images, fonts).
• By uploading content, you grant Flyerworks a royalty-free, worldwide license to use, store, process, host, and display such content solely for:
• Operating the service, including storing uploaded files at publicly accessible URLs and publishing a flyer to a public page where you choose to create a share link (Privacy Policy Section 6A)
• Sending it to third-party AI providers where you choose to use an AI feature, including background removal (Privacy Policy Section 3)
• Improving platform performance
• Support, troubleshooting, and quality assurance
• You confirm that you have the rights to all content uploaded, including any product photos, logos, brand imagery or font files, and that its use in your flyer or shelf tag, and its hosting and public display as described above, does not infringe any third party’s rights.

10. Content Moderation, Notice & Takedown

• Flyerworks acts as an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (and, for users outside India, seeks equivalent protection as a hosting provider, including under the U.S. Digital Millennium Copyright Act where applicable).
• We do not pre-screen, monitor, or review user-uploaded content or user-generated flyers and shelf tags before they are created, downloaded, or shared. We reserve the right to remove any content, and to suspend or terminate the associated account, without prior notice, if we become aware that it violates these Terms or applicable law.
• If you believe content on the Platform infringes your rights or violates the law, notify our Grievance Officer:

• We will acknowledge a valid notice within 24 hours and aim to act on it within 15 days, in line with applicable Indian law.

11. Badge & Watermark

• Flyers created on our Free plan carry a Flyerworks badge that cannot be disabled.
• Flyers created on our Starter plan carry the same badge by default, with an option to disable it in account settings.
• Flyers created on our Pro and Business plans do not carry the badge.
• Attempting to remove or obscure the badge outside of the provided settings is a prohibited activity under Section 4.2.

12. Account Suspension & Termination

Flyerworks reserves the right to suspend or terminate any account, with or without notice, in cases including but not limited to:

• Violation of these Terms
• Abuse of free usage, AI generation, or refund policies
• Fraudulent or deceptive behavior
• Technical or security risks to the Platform
• Termination does not entitle the user to any refund unless explicitly required by law.

13. Service Availability & Modifications

• The Platform is provided on an “as-is” and “as-available” basis.
• Flyerworks does not guarantee uninterrupted or error-free service, including the availability or quality of any third-party AI provider we rely on.
• Features, limits, or availability may be modified, upgraded, or discontinued at any time.

14. Limitation of Liability

• To the maximum extent permitted by law, Flyerworks shall not be liable for indirect, incidental, special, or consequential damages.
• Total liability, if any, shall be limited to the amount paid by the user in the preceding billing cycle.
• Flyerworks is not responsible for business losses, missed opportunities, marketing outcomes, or the accuracy of pricing, discount, or offer claims depicted in any flyer or shelf tag you create.
• We are not liable for regulatory action, penalties or third-party claims arising from a promotion you publish — including advertising-standards, consumer-protection, weights-and-measures, food-labelling, alcohol/tobacco/pharmaceutical advertising, or price-display requirements applicable to your business. Compliance with the law governing your own advertising is your responsibility.
• We are not liable for the acts, omissions, availability, output quality or data practices of third-party providers (including AI model providers, payment gateways, hosting, messaging and analytics providers), nor for any loss arising from a share link or uploaded file being accessed or forwarded by someone you gave it to.
• Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or any statutory right available to you as a consumer that cannot be waived. Where such a right applies, these limitations apply only to the extent permitted.

15. Indemnification

You agree to indemnify and hold harmless Salescore Technologies Pvt Ltd from any claims, damages, or liabilities arising from:

• Your use of the Platform
• Content you upload, generate, publish or share, including any resulting claim of copyright, trademark or font-licence infringement, or violation of a third party’s right of publicity
• Any promotion you publish that breaches advertising, consumer-protection, labelling or price-display law applicable to your business
• Any misrepresentation of price, discount, or offer terms in content you create
• Your use of a share link, including any disclosure of information resulting from a link you created or forwarded
• Violation of these Terms or applicable laws

15A. Referrals, Promotional Codes & Affiliate Programme

Referral rewards, promotional codes and the affiliate programme are promotional benefits offered at our discretion, not contractual entitlements. The following applies:

• Each account receives a personal referral link, which may be shared with any number of people.
• A referred person receives a one-time discount on their first paid plan only. It does not apply to upgrades or renewals, and cannot be combined with a promotional or affiliate code.
• The referring account receives its reward only after the referred person has been a paying subscriber for at least 7 continuous days. This waiting period prevents abuse of the refund window and cannot be waived.
• No reward is granted, and any reward already granted may be reversed, if the referred subscription is refunded, charged back, cancelled within the waiting period, or found to be fraudulent.
• Self-referral is prohibited. Rewards may be refused or reversed where the referring and referred accounts share a phone number, email address, payment instrument, or otherwise appear to be controlled by the same person or business.
• Referral rewards have no cash value, are non-transferable, and cannot be exchanged, refunded or paid out.
• Promotional codes may carry their own expiry, usage limit, per-customer limit and plan restrictions; the terms shown at the point of redemption govern that code.
• Only one discount applies to any single order. Promotional codes, affiliate codes and referral discounts cannot be stacked.
• The affiliate programme is operated separately under its own affiliate terms and requires an approved affiliate account. Commission is subject to confirmation and to reversal on refund or chargeback.
• We may cap, change, suspend or withdraw any of these benefits at any time. Rewards already validly granted will be honoured.

16. Changes to Terms

• Flyerworks may update these Terms from time to time.
• Continued use of the Platform after changes constitutes acceptance of the updated Terms.

17. Governing Law & Jurisdiction

• These Terms are governed by the laws of India.
• Exclusive jurisdiction shall lie with courts in Kochi, Kerala, India.
